These Terms and Conditions (“Terms”) govern your access to and use of the Oversify website, browser extension, and web application (together, the “Service”) provided by Oversify, Inc.(“Oversify,” “we,” “us,” or “our”). By using the Service, you agree to be bound by these Terms.

1. Eligibility and Accounts

You must be at least 16 years old to use the Service and have the legal capacity to enter into a binding agreement. You are responsible for the accuracy of the information you provide and for keeping your account credentials confidential. You are responsible for all activity that occurs under your account.

2. What Oversify Does

Oversify generates AI-powered comments that help you engage with LinkedIn creators and keyword-matched posts on your behalf. You control the inputs (target creators, keywords, tone, enhancements) and can review, pause, or cancel activity from your dashboard. Oversify does not guarantee any specific outcome, including follower count, impressions, inbound leads, or revenue.

3. Your LinkedIn Account and Third-Party Platforms

The Service interacts with LinkedIn through your authenticated browser session. You are solely responsible for ensuring that your use of the Service complies with LinkedIn's Terms of Service and any other third-party platform you connect. Oversify is not affiliated with, endorsed by, or sponsored by LinkedIn Corporation.

4. Subscriptions, Trials, and Billing

  • Plans. The Service is offered on subscription plans (Starter, Elite, and Custom). Plan limits (monthly comments, target creators, keywords, enhancements) are described on our pricing page.
  • Free trial. Eligible new users receive a 3-day free trial with no credit card required. At the end of the trial, you must subscribe to continue using the Service.
  • Payments. Subscriptions are billed monthly or annually in advance through our payment processor (Stripe). By subscribing, you authorize recurring charges on your payment method.
  • Taxes. Prices shown do not include taxes unless stated. You are responsible for any applicable VAT, GST, or sales tax.
  • Cancellation. You may cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period; we do not refund partial periods except where required by law.
  • Price changes.We may change prices with at least 30 days' notice. Changes will not apply to the current, pre-paid period.

5. Acceptable Use

You agree not to, and will not allow others to:

  • Use the Service to harass, deceive, impersonate, or mislead any person.
  • Post content that is unlawful, defamatory, hateful, sexually explicit, or that infringes the rights of others.
  • Circumvent rate limits, plan caps, or technical protections in the Service.
  • Reverse-engineer the Service, scrape it, or use it to build a competing product.
  • Share your account credentials or allow multiple people to use a single seat.

We may suspend or terminate accounts that violate these rules or that we reasonably believe put other users or the Service at risk.

6. Your Content

You retain ownership of the inputs and configurations you provide (target creators, keywords, tone preferences, personality presets, comment drafts). You grant Oversify a worldwide, non-exclusive, royalty-free license to use your inputs solely for the purpose of operating, improving, and supporting the Service. Comments posted from your LinkedIn account are published under your name and remain your responsibility.

7. Our Intellectual Property

The Service, including all software, branding, designs, and content (other than your inputs), is owned by Oversify and protected by applicable intellectual-property laws. We grant you a limited, non-transferable, non-sublicensable license to use the Service in accordance with these Terms.

8. AI-Generated Output

AI output is generated probabilistically and may contain inaccuracies. You are responsible for reviewing any comment behavior, tone settings, and keyword rules you enable. You acknowledge that Oversify does not warrant that AI output will be error-free or fit for any particular purpose.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OVERSIFY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OVERSIFY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OVERSIFY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold Oversify harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Service, or your violation of any third-party rights, including those of LinkedIn.

12. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access for any violation of these Terms or for behavior that we reasonably believe to be harmful to the Service or to other users. Sections that by their nature should survive termination (including Sections 6, 7, 9, 10, and 11) will continue in effect.

13. Changes to the Service or Terms

We may update these Terms from time to time. Material changes will be announced by email or in-product notice. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. You and Oversify agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms.
